【First Part and Introduction】
Welcome to use Tencent Exmail Service!
In order to use Tencent Exmail (hereinafter referred to as "the Service"), you shall read and abide by Tencent Exmail Service Agreement (hereinafter referred to as "the Agreement"),Tencent Service Agreementand other applicable rules. It is important that you carefully read and thoroughly understand the content of all terms and conditions, particularly those pertaining to the exemption or limitation of responsibilities. You are also required to review the standalone agreements relating to the activation or use of a specific service and choose to accept them or not accordingly. Terms regarding exemption or limitation of responsibilities may be displayed in bold font to draw your attention.
You must read and accept all the terms and conditions of the Agreement to be entitled to use Exmail. By logging in to the Service or by viewing or publishing related information in the Service, you will be deemed to have read and agreed to be bound by the Agreement.
1. [Scope of Agreement]
1.1 This agreement is an agreement between you and Tencent regarding your use of Tencent's corporate email service. "Tencent" refers to the possible operating affiliates of Tencent and its related services. "Enterprise mailbox user" refers to an individual or organization that has registered, purchased Tencent's enterprise mailbox service and obtained the enterprise mailbox management authority, and is more referred to as "you" or "user" in this agreement. "End user" refers to an individual who is assigned to use the mailbox service by the enterprise mailbox user after the enterprise mailbox user purchases the mailbox service.
1.2 This agreement is deemedTencent Service Agreement. It is an integral part to the foregoing agreement and rules and constitutes a unified whole with such agreement and rules. In the event of any conflict between the Agreement and the above, the Agreement shall prevail.
The scope of the Agreement shall also include other agreements, service declarations, business regulations, notices & guidelines, etc. relating to the Service, as may be announced by Tencent from time to time (hereinafter collectively referred to as "Specific Terms"). Once any of such contents is officially published, it constitutes an integral part of the Agreement, with which you should also comply.
2. [About this service]
2.1 [Access to this service]
2.1.1 You can purchase this service directly through Tencent's corporate email official website or from a distributor authorized by Tencent.
2.1.2 If you obtain this service through a third party that is not authorized by Tencent, Tencent cannot guarantee the normal use of this service, and is not responsible for the losses you suffer as a result.
2.1.3 Tencent will complete the review of the order you submitted as soon as possible, and the review result will be notified to your designated contact person by other means such as email, mobile phone text message or authorized dealer.
2.1.4 You understand and agree: after you follow the relevant procedures, prompts to submit order requirements and confirm the relevant order information, any information such as your order information, company information and qualifications you submitted, and invoice information will no longer be able to be modified. At the same time, you should complete the payment strictly in accordance with the requirements.
2.1.5 Tencent will provide services to you in accordance with the provisions of this agreement and the "Tencent Service Agreement" and special rules. If you go beyond the foregoing agreements or rules (such as the special customized service you provide to the dealer), you should request the dealer to perform. Tencent does not guarantee that the foregoing agreement will be fulfilled.
2.2 [Contents of this service]
2.2.1 This service is a service where Tencent provides users with email storage space, and uses the email system to provide users with sending and receiving emails, email hosting and other related email functions. The user shall have the right to manage and use the legal domain name of the email address. The suffix of the enterprise email address shall use the legal domain name owned by the user, and the prefix name can be set by the user.
2.2.2 After you successfully purchase this service and activate it, Tencent will provide you with the management authority of the enterprise mailbox, web management interface application, corresponding storage space and instructions for use based on the number of end users you purchased, and guarantee The normal operation of this service.
2.2.3 You purchase this service from a Tencent authorized dealer, and the service start date is subject to the agreement between you and the dealer. If you purchase this service directly from Tencent, the service start date is the day Tencent opens the corporate email service for you, and the date recorded in the Tencent system shall prevail.
3. [User's rights and obligations]
3.1 [Preparation for obtaining this service]
3.1.1 You should ensure that you legally own and control the domain name used as the suffix of your corporate mailbox. If your domain name is invalid, the domain name infringes the rights of others, violates national policies and regulations, or any other third-party reasons, the domain name cannot be used normally. We do not assume any responsibility.
3.1.2 You should submit clear and complete application materials as required, including but not limited to: subject qualification certificate, applicant information, corporate contact information, invoice information and other information. The specific application materials are subject to the requirements of Tencent. Tencent does not assume any responsibility if the service cannot be activated normally or the activation is delayed due to lack of information. You guarantee that the information submitted is true, accurate, timely, and complete, otherwise direct or indirect disputes will be caused, and any liability or compensation involved shall be borne by you. You agree that Tencent can confirm by telephone, email, or door-to-door visits.
3.1.3 You need to prepare the hardware equipment required to accept the service and activate the Internet connection service. The user shall bear the hardware costs and data traffic costs that may be incurred during the use of the service. If you lack appropriate hardware, or Tencent does not assume any responsibility for the unsuccessful connection to the Internet resulting in the inability to use this service normally.
3.1.4 You need to correctly configure the domain name resolution. You can refer to the help documents provided by authorized dealers or Tencent. Tencent does not assume any responsibility if the service cannot be used normally because you have not correctly configured the domain name resolution or modified the domain name resolution configuration incorrectly.
3.2 [User Rights]
3.2.1 Enterprise mailbox users have the right to use this service as agreed upon after successfully purchasing and subscribing to this service.
3.2.2 Enterprise mailbox users have the right to manage end users within the scope of the service agreement, including: adding or reducing end users within the range of the number of end users purchased, allocating end user mailbox space, etc. The specific rights and functions they enjoy The current product version description shall prevail.
3.2.3 The end user has the right to use the service in accordance with the settings of the enterprise mailbox user.
3.3 [User Information Content Specification]
3.3.1 The information content mentioned in this article refers to any content produced, copied, published, and disseminated during the use of this service by users and end users, including but not limited to email content, headers, attachments, and other content generated by using this service content.
3.3.2 Tencent has always been committed to providing users with a civilized, healthy, standardized and orderly network environment. All users or end users shall not use this service to produce, copy, publish, and disseminate the following to interfere with Tencent’s normal operations, or infringe on other users or third parties. The content of the legitimate rights and interests of the three parties, including but not limited to:
3.3.2.1 Contents that violate national laws and regulations:
(1) Violates the fundamental principles established by the Constitution;
(2) Endangers national security, divulges state secrets, subverts state power and undermines national unity;
(3) Damages national honors and interests;
(4) Incites national hatred and ethnic discrimination, and destroys national unity;
(5) Undermines national religious policies and promotes cults and feudal superstitions;
(6) Spreads rumors, disturbs the social order and undermines social stability;
(7) Disseminates obscenity, pornography, gambling, violence, terror or abets any crime;
(8) Insults or slanders others and infringes on the legitimate rights and interests of others;
(9) Incites illegal assembly, association, procession, demonstration and gathering, disrupting the social order;
(10) Carries out any activity in the name of any illegal civil organization;
(11) Contains any other content prohibited by laws and administrative regulations.
3.3.2.2 Destructive programs such as spam, computer viruses, advertising information, harassing information, or any sexual or sexually suggestive content;
3.3.2.3 Content that infringes upon the legal rights of others' reputation rights, portrait rights, intellectual property rights, and trade secrets;
3.3.2.4 Content that involves the privacy, personal information or data of others;
3.3.2.5 Other information that violates laws, regulations, policies, public order and good customs, social ethics, or interferes with Tencent's normal operations and infringes on the legitimate rights and interests of other users or third parties.
3.4 [Service Use Specification]
Unless otherwise permitted by law or authorized by Tencent in writing, you may not engage in any of the following acts during the use of the Service:
3.4.1 Reverse engineer, reverse compile, reverse compile the service, or try to discover the source code of the service in other ways;
3.4.2 Use, rent, lend, copy, modify, link, reprint, compile, publish, publish, establish mirror sites, etc. of content that Tencent has intellectual property rights;
3.4.3 Log in or use Tencent services, or make, publish, or disseminate the aforementioned tools through third-party software, plug-ins, plug-ins, and systems that are not developed or authorized by Tencent;
3.4.4 Interfere with this service, its components, modules, and data by itself or by authorizing others or third-party software;
3.4.5 Other acts not expressly authorized by Tencent.
3.5 [Service Operation Specification]
Unless otherwise permitted by law or authorized by Tencent in writing, All Users or End Users may not engage in the following acts during the use of the Service:
3.5.1 Submitting or publishing false information, or impersonating or using the name of others;
3.5.2 Inducing other users to run the email content containing computer viruses and other destructive programs or click on the link pages of computer viruses and other destructive programs;
3.5.3 Fictional facts, concealing the truth to mislead or deceive others;
3.5.4 Infringement of legal rights such as reputation rights, portrait rights, intellectual property rights, and trade secrets of others;
3.5.5 Use this service to engage in any illegal or criminal activity;
3.5.6 Make and publish methods and tools related to the above behaviors, or operate or disseminate such methods and tools, regardless of whether these behaviors are for commercial purposes;
3.5.7 Other acts that violate laws and regulations, infringe on the legitimate rights and interests of other users, interfere with the normal operation of the service, or not expressly authorized by Tencent.
3.6 [Responsible for own actions and end users]
All users fully understand and agree that the end user is authorized to use the enterprise mailbox service based on the user’s assignment. The use and operation of the end user are regarded as user behavior, and the user should manage the end user and require The end user shall not violate this agreement when using this service, especially the provisions of Article 3.3, 3.4 and 3.5 above. Users must be responsible for all actions under their registered account, including any content published and any consequences arising therefrom. If the end user violates the rules, the user agrees that Tencent can directly deal with the violation of the end user.
The User shall judge the contents of the Services by him/herself and assume all risks arising from the use of the contents, including the risks arising from reliance on the correctness, completeness or usefulness of the contents. Tencent cannot and will not be responsible for any loss or damage caused by the foregoing risks.
4. [Tencent's rights and obligations]
4.1 [Provide services on contract]
4.1.1 Tencent will review the user's application materials within the agreed time, and activate the service within the agreed time after the user pays the corresponding fee. If you pay late, Tencent reserves the right not to activate this service and cancel your order without assuming any legal responsibility.
4.1.2 Tencent provides you with clear operational guidance services, and provides technical consulting services when there are related service problems or when you do not operate properly.
4.1.3 You have the right to make comments to Tencent on service quality issues, and Tencent will respond as soon as possible. If the issue can be resolved in a timely manner, Tencent will promptly assist users in solving the corresponding issues.
4.1.4 When there are changes to the functions, prices, and methods of use of this service, Tencent will notify users by the notification method agreed in this agreement.
4.2 [Protect User Information Security]
4.2.1 Protecting user information security is a basic principle of Tencent, and Tencent will take reasonable measures to protect users' email information. Tencent adopts professional encrypted storage and transmission methods for related information to ensure the security of users' email information.
4.2.2 Tencent will use various security technologies and procedures to establish a complete management system to protect users' email information from unauthorized access, use or disclosure.
4.2.3 Without the user's consent, Tencent will not disclose the user's email information to any company, organization or individual other than Tencent, unless otherwise provided by laws and regulations.
4.3 【Breach of Contract】
4.3.1 If Tencent discovers or receives reports or complaints from others that users violate the provisions of this agreement, Tencent reserves the right to delete and block relevant content at any time without notice, and, depending on the circumstances of the behavior, impose but not limited to warnings, restrictions Or prohibit the use of part or all of the functions, suspension or termination of the service. The fees already collected by Tencent are not refundable.
4.3.2 You understand and agree that Tencent has the right to punish violations of relevant laws and regulations or the provisions of this agreement based on reasonable judgments, take appropriate legal actions against any users who violate laws and regulations, and save relevant information to relevant departments in accordance with laws and regulations Reports, etc., the user shall bear all legal responsibilities arising therefrom.
4.3.3 You understand and agree that you shall be solely responsible for any claims, demands or losses claimed by a third party due to your violation of the provisions of this agreement or the relevant terms of service; And compensation.
4.4 [End of Service and Follow-up Processing]
4.4.1 The end of the service means that the enterprise mailbox user has not completed the renewal procedures when the service expires, and Tencent terminates the provision of this service to the enterprise mailbox user.
4.4.2 You should complete the renewal procedures in advance before the expiration of this service, otherwise Tencent has the right to terminate your use of this service without notifying you from the expiration date of your corporate email service.
4.4.3 After the end of the service, Tencent has the right to clear all data, information, etc., generated by your use of this service at any time, including but not limited to all emails received or sent, all emails to be sent, email address book information, etc. You will not be held responsible for the losses you suffer. If you are unable to complete the renewal procedures when the service expires or decide not to continue using the service after the expiration, please back up the relevant data yourself in advance.
4.4.4 For free users, after the domain name mx expires continuously for 30 days, the system will determine that the service is over and begin to clear the data.
5. [Exemption Clause]
5.1 You understand and agree: In view of the particularity of network services, adjustments and changes in national policies, industry regulations, government administrative actions, etc., Tencent has the right to change, suspend or terminate in accordance with the overall operation of this service or relevant operating specifications and rules, etc. For part or all of the services, Tencent will notify users in the notification method agreed in this agreement.
5.2 You understand and agree that: In order to provide you with better services, Tencent has the right to regularly or irregularly overhaul, maintain, upgrade, etc. the platform or related equipment that provides this service. Such circumstances may cause the relevant services to be reasonable. If it is interrupted or suspended within a period of time, if it causes losses to you, you agree to waive Tencent’s liability.
5.3 You understand and agree: Tencent's services are provided in accordance with the status quo that can be achieved with existing technology and conditions. Tencent will do its best to provide you with services to ensure the continuity and safety of the services; however, Tencent cannot guarantee that the services it provides are flawless, nor can it foresee and prevent legal, technical and other risks at any time, including but not limited to force majeure , Viruses, Trojan horses, hacker attacks, system instability, communication line failures, third-party service defects, government actions and other reasons may cause service interruption, data loss, and other losses and risks. So you also agree: even if the service provided by Tencent has flaws, the above-mentioned flaws are unavoidable by the industry's technical level at the time, and they will not be regarded as Tencent's breach of contract, and at the same time, the resulting loss of data or information caused to you , You agree to waive the responsibility of Tencent.
5.4 You understand and agree: In the process of using this service, you may encounter force majeure and other risk factors, which will cause the interruption of this service. Force majeure refers to an objective event that cannot be foreseen, cannot be overcome, cannot be avoided, and has a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics and storms, and social events such as wars, turmoil, government actions, etc. . When the above situation occurs, Tencent will work hard to cooperate with the relevant units at the first time and repair it in a timely manner. If this causes losses to you, you agree to waive the responsibility of Tencent.
5.5 You understand and agree: Tencent will not bear any legal responsibility if the service is interrupted or blocked due to the following circumstances: (1) Damaged by computer viruses, Trojan horses or other malicious programs, hacker attacks; (2) Your computer software , System, hardware, and communication lines are malfunctioning; (3) You operate improperly; (4) You use this service in a way that is not authorized by Tencent; (5) Other situations that Tencent cannot control or reasonably foresee.
6. [About the notice]
6.1 Tencent may use one or more of web announcements, web notifications, e-mail addresses, mobile phone text messages, regular mail transmissions, sending station letters in the management system of your registered service account, etc., to serve you The various rules, notices, reminders and other information of this service. Once such information is announced or sent by Tencent in any of the aforementioned methods, it shall be deemed that you have accepted and agreed to it, and will be binding on you. If you do not accept it, please notify Tencent in writing, otherwise you will be deemed to have accepted and agreed.
6.2 If you have not received the relevant rules, notifications, reminders and other information due to errors in the e-mail address, mobile phone number, mailing address and other information you provided, you agree to still be deemed to have received the relevant information and are bound by it. The consequences and responsibilities are borne by you.
6.3 If you need to notify Tencent of a matter, you should notify Tencent in writing in accordance with the contact information officially announced by this service.
7. [Intellectual Property Rights]
7.1 The intellectual property rights of the information content provided by Tencent in this service (including but not limited to web pages, text, pictures, audio, video, charts, etc.) belong to Tencent, except for those owned by others in accordance with the law. Unless otherwise specifically stated, the copyright, patent rights and other intellectual property rights of the software on which Tencent provides this service belong to Tencent. Tencent uses "QQ", "Tencent", "TENCENT", Penguin image, "WeChat", "WeChat", WeChat icon and LOGO and other commercial logos used in this service. The copyright or trademark rights belong to Tencent. The above and any other intellectual property rights owned by Tencent in accordance with the law are protected by law. Without Tencent's written permission, you may not use or create related derivative works in any form.
7.2 You only have the right to legally use the service or related technical interfaces in accordance with this agreement, and all the copyrights and patent rights related to the technical interfaces related to this service belong to Tencent. Without Tencent's written permission, you may not breach the contract or use it illegally, and may not sell, transfer, or authorize Tencent's code, technical interfaces, and development tools to any unit or individual.
8. [Validity Period and Termination]
8.1 [Period of Agreement]
The Agreement shall remain valid, except for early termination as stipulated in the Agreement.
8.2 【Terms of termination】
8.2.1 If you notify Tencent in writing that you do not accept this agreement or modify it, Tencent reserves the right to terminate the provision of this service to you at any time.
8.2.2 If you are unable to continue using the service or Tencent is unable to provide the service due to force majeure, Tencent reserves the right to terminate the agreement at any time.
8.2.3 Tencent reserves the right to terminate the provision of this service to you at any time if other termination conditions agreed in this agreement occur or are realized.
8.2.4 Due to your violation of this agreement, after Tencent terminates the provision of this service to you in accordance with the agreement, if you subsequently directly or indirectly, or register to use this service in the name of another person, Tencent has the right to unilaterally suspend or terminate the provision of this service. service.
8.2.5 Either party declares bankruptcy or enters liquidation or dissolution proceedings.
8.2.6 If there are new terms, both parties can sign a supplementary agreement through friendly negotiation, which has the same legal effect as this agreement.
8.2.7 During the effective period of the agreement, if there are new relevant documents issued by national laws, regulations, relevant state departments and telecom operators or changes in the policy environment, resulting in fundamental changes in the signing and performance of this agreement, either party may notify the other party After negotiating to change the original agreement, if the negotiation fails, one party can terminate the agreement without assuming any responsibility if the other party is notified 15 days in advance.
8.2.8 When Tencent's products or services cease to operate, Tencent will notify you in the form of push notifications, announcements, etc., delete your personal information or anonymize it within a reasonable period of time, and immediately stop collecting personal information Activities and close third-party application service interfaces to avoid third-party services from collecting and continuing to use personal information.
8.2.9 If this agreement or this service is terminated for any reason, you should handle the backup of data and other information and the handling of related matters with your end users.
8.3 [Events after termination]
The termination of the Agreement does not affect the outstanding settlement hereunder or the payment obligations and other obligations or rights of either party accrued before the termination.
9. [Others]
9.1 The content of this agreement also includes Tencent's various system specifications, other agreements or rules in the annex to this agreement, and other relevant agreements and rules that Tencent may continuously publish regarding this service. Once the above content is officially released, it is an integral part of this agreement, and you should also abide by it. If the above content conflicts with this agreement, this agreement shall prevail. Once you have registered or used any service under this agreement, you are deemed to have read and agreed to be bound by this agreement and the above content. Tencent has the right to unilaterally modify this agreement or the above content when necessary. After the relevant content is changed, if you continue to use the service, you will be deemed to have accepted the revised content. If you do not accept the revised content, you should stop using the relevant service.
9.2 The place where this agreement was signed is Nanshan District, Shenzhen, Guangdong Province, the People's Republic of China.
9.3 The date provisions of this agreement, unless otherwise specified, refer to natural days.
9.4 The establishment, entry into force, performance, interpretation and dispute resolution of this agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict of laws).
9.5 If any disputes or disputes occur between you and Tencent, they should first be settled through friendly negotiation; if the negotiation is unsuccessful, both parties agree to submit the dispute or dispute to the people's court with jurisdiction where this agreement is signed for settlement.
9.6 The headings of all clauses in this agreement are for reading convenience only, they have no actual meaning and cannot be used as the basis for interpretation of the meaning of this agreement. (Finish)
